("RAM" or the "Company")
Placing and Issue of Equity
The Board of RAM Active Media plc ("RAM") announces that it has placed GBP300,000 with an existing shareholder (the "Existing Shareholder") at a price of 4p per new ordinary share for working capital needs.
Application will be made for 7,500,000 new ordinary shares in RAM, which, when issued will rank pari passu with the existing ordinary shares in issue and application will be made for such new ordinary shares to be admitted to trading on AIM. This is expected to be on or about 1 July 2013.
The Company continues to work on a more substantial equity raising to restructure its balance sheet and allow it to make the capital investments needed for its business plan. Should the eventual placing be achieved at a placing price lower than 4p per new ordinary share, the Existing Shareholder will have the right to be allotted such number of additional new ordinary shares as if the placing announced today had taken place at that eventual placing price.
