Radian Capital Plc (the Issuer)

GBP100,000,000 6 per cent. Secured Bonds due 2042, GBP100,000,000 4.622 per cent. Secured Bonds due 2044 and GBP200,000,000 5.029 per cent. Secured Bonds due 2049 (the Bonds)

Notice is hereby given to the holders of the Bonds that members of the Abri Group have effected a corporate reorganisation.

As of 31 March 2021, each of Drum Housing Association Limited and Portal Housing Association Limited (a Borrower under the Bond structure) has transferred its engagements to Yarlington Housing Group, pursuant to section 110 of the Co-operative and Community Benefit Societies Act 2014. These transfers of engagements fall within the definition of Permitted Re-organisations under the Bonds.
