Results of the NCW scheme meeting

Further to the announcements dated Wednesday, 28 October 1998 and Friday,13
November 1998, NCW shareholders are advised that at the scheme meeting of
members of NCW, other than AAC and its subsidiaries ('the scheme members'),
held on Friday, 4 December 1998, the scheme of arrangement in terms of Section
311 of the Companies Act, 1973 (Act 61 of 1973), as amended, proposed by AAC
between NCW and the scheme members ('the scheme'), was approved by the
required majority of the scheme members present and voting, in person or by
proxy, at the scheme meeting.

The scheme is subject to sanctioning by the High Court of South Africa
(Witwatersrand Local Division) and to the Order of Court being lodged with,
and registered by, the Registrar of Companies. The Court hearing for the
sanctioning of the scheme is scheduled for 10:00, or as soon thereafter as
Counsel may be heard, on Tuesday, 15 December 1998 at the High Court Building,
Von Brandis Square, corner Pritchard and Von Brandis Streets, Johannesburg.

The scheme is expected to become operative on Monday, 21 December 1998. NCW
shareholders are reminded to surrender their documents of title in terms of
the scheme. If the scheme becomes operative on Monday, 21 December 1998, the
scheme consideration will be posted or made available for collection on
Wednesday, 23 December 1998 for those shareholders who surrendered their
documents of title by 16:00 on Friday, 18 December 1998. For those
shareholders who surrender their documents of title after Friday, 18 December
1998, the scheme consideration will be posted or made available for collection
five days after the surrender of their documents of title.
