Notification of Increase in Issued Share Capital

In accordance with the terms of the Subscription Agreement between Public
Network plc (the "Company") and GHW Group plc, as detailed in the Circular 
dated 10 April 2003, an additional 555,556 5p Ordinary Shares have been 
issued and allotted by the Company.  Application has been made to AIM for 
Admission of the 5p Ordinary Shares to trading on AIM and dealings in the 
5p Ordinary Shares are expected to commence on Monday 19 May 2003.
