TIDMPST RNS Number : 2272P Portrait Software Plc 12 July 2010 Portrait Software plc ("Portrait" or the "Company") Cancellation of admission to trading on AIM Following the announcement on 5 July 2010 by Pitney Bowes MapInfo UK Limited (a wholly-owned subsidiary of Pitney Bowes Inc.), which stated that it had received acceptances in respect of over 90 per cent. of the existing issued ordinary shares of 2.5 pence each (the "Portrait Shares") in Portrait and that the Offer had been declared wholly unconditional, Portrait has, in accordance with the AIM Rules, applied for the cancellation of admission to trading of Portrait Shares on AIM. The cancellation of admission to trading of Portrait Shares on AIM will take effect from 7.00am on 10 August 2010. Accordingly the last day of dealings in Portrait Shares will be 9 August 2010. The cancellation of the admission to trading of the Portrait Shares on AIM will significantly reduce the liquidity and marketability of any Portrait Shares held by persons who have not accepted the Offer at that time and holders of Portrait Shares should be aware that there may be no future market for them to realise their investment in Portrait. Following the delisting and the cancellation of admission to trading of Portrait Shares on AIM, it is intended that the remaining Portrait Shares not held by Pitney Bowes MapInfo UK Limited will be compulsorily acquired by Pitney Bowes MapInfo UK Limited pursuant to Chapter 3 of Part 28 of the Companies Act 2006 and that the Company will be re-registered as a private limited company under the provisions of section 97 of the Companies Act 2006.
