Well I stand corrected too on the probable dilution within spv's only.

Still in some ways as we'll be hopefully selling the spv's one day it could be construed as a little dilution via the side door.

Anyway, if they do the mega-funding without PPG dilution, I'll be the first to be Tweeting about it and confirming our motto "No Dilution Ever"

BP I did say to u yesterday that u are reading too much into things...absolutely no reason for dilution given the SPV structure. The management are not fools. Putting together a massive financing deal with so many moving parts does take time. My understanding is that the 80% asset financing has been done. The 20% mezzanine is taking the time.. it's thru SPVs.. I stress the point too that if theyp really had to they could always give up some of the majority % in gas so again no need for dilution...people were wrongly spooked out of the stock yesterday

Just shows incorrect posts by BP can lead to advantages for people to buy shares at low prices , sit back and enjoy the non dilutive news expected soon.

BP You were very wrong luckily long term holders ignored the drop and added into it yesterday . Seems you have been corrected and now you admit no chance of fund raise as was always the case.
Expect you are buying back in today .

YESTERDAY:-

"The possibility of a share placing in the prolonged absence of concrete news could be another reason for the "spooking" of investors in recent days/weeks."

"Hope I am wrong!"

-------------------------------------

Glad to report that, after some further consideration and discussion since yesterday, I have been assured that an equity raise will not be necessary at all, because of the flexibility in the SPV arrangements for each individual gas/hybrid site. There apparently is ample "room" (or percentage points) to offer a partner/investor some skin in the game, but ONLY IF NEEDED. It may be the case that for some or the majority of sites even that will not be required. Obviously we will have to wait and see what the Company announces eventually about the results of its negotiations. Clearly the protracted period of these talks have "spooked" people from some weeks ago, and today with calmer minds investors are returning to take the opportunity to increase their holdings in the parent Company, Plutus Powergen, ahead of the next series of announcements. They should do very well indeed, I reckon. Good luck!

Also I don't think many posters understand what special purpose vehicles are and the fact that there is no dilution to the parent company as a result

Directors cannot buy until funding completed , bet they would love to buy down here at these bargain levels

Just to clarify again; any equity portion will be in the spvs not the parent company.

If it is to be diluted, they will want to get the share price up a bit more imo.

It was made quite clear in the January Interims "The cost of the build out of these gas sites average £12.5m per site and are expected to be funded by asset finance (60% - debt), a big six energy utility (20% equity) and a portion of equity potentially combined with mezzanine finance (20%)."

'a portion of equity potentially combined with mezzanine finance (20%).'

Mezzanine finance is defined as ' Mezzanine financing is a hybrid of debt and equity financing that gives the lender the rights to convert to an ownership or equity interest in the company in case of default, after venture capital companies and other senior lenders are paid.'

So mezzanine only leads to dilution on default but what about 'a portion of equity' surely that means some possible dilution - hopefully not but it's not beyond the realms of possibility nor is it going to be the end of the world if it happens.

There's a bridge, let's all get over it !

Agreed, no point in re-discussing yet, however if there is any hope of a positive outcome, I'd expect some of that hope was (and still should be) in the share price.

I'm all in favour of two-way discussion but all I'm trying to say is what is the point of harping on about all stuff we've already discussed over and over and over again

The ofgem decision is irrelevant unless there's a positive outcome then it becomes relevant and the reason I say this is because last year we've already discounted the worst case scenario that is what I'm trying to say

montynj, get a grip, and try not to shoot down every point of view that doesn't involve more ramping. Of course the Ofgem decision is relevant, why would the market have already priced in zero chance of success.

As I wrote yesterday which everybody is ignoring the company if they really wanted to they could reduce some of their substantial percentage in the gas pipeline SPV if they really wanted to

I can't see why the CEO would do these investor roadshows specifically to attract new shareholders if he was then going to drop a placing on them. So the idea of a placing seems a non starter.

Oh let's have an argument and ruin this thread just like the other one. All have a go at BishopPawn and blame him for the share price short-term tumble.

Admittedly anyone willing to play around with about £50k can manipulate this share price as it has been quite illiquid, partly because the mgmt HAS got so much skin in the game.

News imminent on funding I'll wager, perhaps some dilution, that won't matter

No dilution to shareholders they have already stated that . Just a buying opportunity here from incorrect posters . Buy any dips
