I think your getting confused between a US SPAC sitting on $300m and a clean virgin cash shell sitting on 1.3m

Nobody said Pineapple was going out to invest in lots of companies or make huge investments in the VRFB space, that is NOT the mission here. The aim is to be a small clean, zero baggage cash shell with which a much larger private company in the VRFB space can RTO to gain a public listing without all the leg work...

Being small and new is exactly the idea.

Float as PNPL small MCap
Target a much bigger private company, agree terms
Suspend trading, issue of equity to the private company so that they are majority stakeholders.
Resume trading under new trading name.
Make the new larger company target for take over, wait for that to happen and walk away rich.
The relatively small cash pot is to fund the RTO and leave a little sweetener for the RTO target, an extra bit of investment should it be needed. But the Company, without the money, the clean, string free, no issue shell called Pineapple Power IS the asset being sold, and there are plenty of private companies who will jump at the opportunity to use it to get a public listing.

I wont disagree that on paper this is just a new company, no products to sell with nothing but a little cash in the bank. As such there is some risk, you are backing the directors and not the company, either they come through or the whole thing falls on its face.

Its up to each investor to decide if they want to take that gamble or not. I am in.

I didn't like the name of the existing thread which seemed to cause more confusion than necessary.

Regarding the target, I do not believe its Bushveld Energy no, wrong continent. I honestly dont know for certain who the target is but I have a few suspicions, however I would not even want to share those as could be wrong but there are not that many global targets that fit the bill ;-)

One thing that was made clear was that its not expected that any further fund raise will be required, provided the cash on hand is used for calculating the new inflated MCap for the inflated share issue the current share price is largely irrelevant and does not need any pumping or ramping pre-RTO. Really is one to put away for a few months until it happens, I expect it to rise over time but not enough daily movement to make it a trade-able share.

Judging by the name of this thread you obviously know more than most about the target. I guess it is Bushveld Energy or at least their VIP portfolio (IES stake, Enercon, mini grid, etc)?

Pineapple Power Corporation PLC was formed as a special purpose acquisition company and has applied for admission to trading on the London Stock Exchange’s Main Market and to listing on the Standard List.

Floated on the standard list of the LSE 24th Dec 2020.

The Company intends to acquire a company or companies involved in the renewable and clean energy industry and to finance, develop and promote environmentally sound energy generation and energy storage projects internationally. An area of particular interest is Energy Storage.

Ah, ok, I did not take your post the way you intended, your right, its not a US style SPAC at all, they are not looking for take overs or to invest, this shell has one purpose, RTO of a private company in the green VRFB sector and one that is already revenue generating.

And I wont disagree with you regards risk, it has one purpose and one purpose only RTO of a single target company. If they succeed in their target and the RTO goes ahead chances are this company will multi bag. However there is a risk that the RTO does not happen in which case its just a cash shell with what will be a slowly depleting cash reserve and eventually gets wound down. For me the risk is worth it for the likely reward.

I personally asked alot of questions and did alot of reading before taking part in the IPO of PNPL and was very happy then. But I made that decision a few months ago, when the Vanadium market was very much under the radar, now? its just exploded in terms of popularity and potential. Where I was happy before now I am ecstatic, I am sure there will be more SPACs popping up with this exact industry in mind and lots of private companies itching to go public to get some of that money pouring in. But here the timing really could not have been any better :-)

I only wish I had taken more when I had the chance at 3p.

In response to the thread name, I was highlighting this is not a US style SPAC ... it is a UK cash shell which has £1.2m of cash, and a NAV per share of c1.8p. I am well aware of the benefits of shell companies having been the CEO of one previously! Just making sure investors understand the risks.

@Robertspc1, not sure where your finding your figures from but the average raise for a cash shell is WAYYY lower than that, On AIM the minimum is £3mil which is why most shells are launched on the standard market where the limit is £700k.

@Goforgold I think you miss the point of Pineapple Power, they are a SPAC/Cash Shell with a target already in mind. They (Pineapple Power) dont necessarily need very much money at all depending on the needs and wants of the target. The plan is for a RTO using a cash shell as a fast to market option with less regulation, less paper work, less time and expense. Fact of the matter right now is the best time for Privately owned Green companies to float and capitalise on sentiment that exists RIGHT NOW rather than have to go down the IPO and float process which is much more complex for a trading company.

Within a very short space of time PNPL will approach (if not already done so) a privately owned company in the VRFB OEM/vanadium producer/processor field which is looking to float on the stock market.
They will agree terms.
Trading will be suspended in PNPL
A RTO will take place and the company will probably be re-branded to something resembling the target.
The target which may not actually NEED any additional funds will regardless have access to probably about £1mil of pre-raised funding that they can use to expand and grow.

Its a win-win provided the target is right and in this instance I believe the timing and sector makes this cash shell perfectly set up to make it a very attractive proposition.

Worth spending a bit of time researching the benefits of cash shells and understand why they are becoming so popular before looking like a fool.
