The Board of Phoenix VCT plc ('the Company') announces that the 
Calculation Date for the conversion of the C shares into Ordinary 
shares was close of business on 31 October 2008.  The conversion took 
place on 2 March 2009 with 27 February 2009 being the record date. 
 
The conversion ratio calculated in accordance with the Company's 
Articles of Association was 1.350833 which results in 7,235,216 new 
ordinary shares being allotted on 2 March 2009. 
 
Accordingly, the Board has issued 7,235,216 new ordinary shares which 
rank pari passu with the existing Ordinary shares.  This brings the 
total number of Ordinary shares in issue to 18,825,306. Therefore the 
total number of Ordinary shares with voting rights in the Company is 
18,825,306. 
 
Details of the C share conversion and entitlements will be sent to C 
shareholders on 6 March 2009.  Trading in these additional shares is 
expected to commence on 5 March 2009. 
 
Following the conversion of 10p C shares into 10p new Ordinary shares 
on 2 March 2009, the C shares have been removed from the Official 
List and C share certificates will no longer be valid.
