 Result of Annual General Meeting and Meeting of Holders of Preference Shares



At the Annual General Meeting held earlier today all of the resolutions
relating to the ordinary business of the meeting and the special business
relating to, inter alia, the Rights Issue were approved by Shareholders.

In addition, at the separate meeting of holders of Preference Shares, the
extraordinary resolution relating to the Capital Reduction was approved by
Preference Shareholders.

Notices of repayment of the Preference Shares and notices of redemption of the
existing loan stock in the Company will be posted on 23 May 2001, such
repayment and redemption to take place on 21 June 2001 and 25 August 2001
respectively. The repayment of the Preference Shares is subject to the prior
sanction of the court, which is expected to be granted on 20 June 2001.

The provisional allotment letters in respect of the New Loan Stock will
therefore be despatched later today and dealings in rights to subscribe for
the New Loan Stock will commence, nil paid, tomorrow 23 May 2001. The latest
time and date for acceptance and payment in full for the New Loan Stock is 3
p.m. 12 June 2001 and dealings in the New Loan Stock, fully paid, will
commence on 13 June 2001.

It is expected that definitive certificates in respect of the New Loan Stock
will be despatched to shareholders by 22 June 2001 and CREST accounts will be
credited on 22 June 2001.
