Plantation & General Investments Plc (the "Company")

NOTIFICATION OF INTERESTS OF DIRECTORS AND CONNECTED PERSONS

On 20 April 2005 the Company received notifications dated 19 April 2005 from Mr
Steven W. Wayne (a director of the Company) and Jensen Group Holdings LLC for
the purposes of sections 198 to 208 of the Companies Act 1985, and from Mr Wayne
for the purposes of sections 324 and 328 of that Act. The notifications informed
the Company that in consequence of the issue to Jensen Group Holdings, LLC (a
company wholly owned by Mr Wayne) of 9,200,000 ordinary shares in the Company as
consideration for the sale by Mr Wayne to the Company of 80% of the issued
equity capital of Jensen Group, Inc. Jensen Enterprises, Inc. and CAC
Investments, Inc. (the "Jensen Companies") on 18 April 2005, both Jensen Group
Holdings LLC and Mr Wayne are interested in 9,200,000 ordinary shares in the
Company, representing 15.08% of the Company's current issued share capital of
61,000,275 ordinary shares.

On 20 April 2005 the Company also received further notifications dated 19 April
2005 from Mr Wayne for the purposes of sections 324 and328 of the Companies Act
1985. These notifications informed the Company that Mr Wayne is interested in
200 membership interests in Jensen Partners LLC and 10,000 ordinary shares of
US$0.01 in Jensen Limited (holdings representing 20% of the issued share capital
of each of the companies, which are both subsidiaries of the Company). The
membership interests in Jensen Partners LLC were acquired by Jensen Group
Holdings LLC on 18 April 2005 in consideration for the transfer by Mr Wayne to
Jensen Partners LLC of 20% of the issued equity capital of the Jensen Companies.
The shares in Jensen Limited were acquired by Jensen Group Holdings LLC on 18
April 2005 through the transfer of the subscriber share and the allotment of the
remaining shares for a cash subscription; the combined consideration was US$100.
