PGI Group Plc ("the Company")

Application has been made to the UK Listing Authority and to the London Stock
Exchange for 2,182,321 ordinary shares of 25p each to be admitted to the
Official List.

These shares, ranking pari passu in all respects with the existing shares in
issue, and will be allotted pursuant to the exercise of options and to the rules
of the following schemes:-

1986 Executive Share Option Scheme - 404,816 shares
1996 Unapproved Share Option Scheme - 49,710 shares
1998 Discretionary Share Option Plan - 1,079,095 shares
Share Option Granted to Mr. R.J. Clothier - 648,700 shares

These shares will not be allotted immediately but as and when the scheme rules
allow.
