Notice of Extraordinary General Meeting 
 
 
Orpak Systems Ltd, the leading provider of card-free secure fuel payment systems 
based on vehicle identification and end-to-end solutions for the automation of 
fuel stations, gives notice that an extraordinary general meeting (the "General 
Meeting") of the Company will be held at the offices of Speechly Bircham LLP, 6 
New Street Square, London EC4A 3LX, United Kingdom, at 4:00p.m. (London time) on 
December 22, 2009, to consider, and if thought fit, pass the following 
resolution which will be proposed as an ordinary resolution: 
 
 
Ordinary Resolution 
 
 
THAT the General Meeting approves the Board of Directors' resolution dated 
December 1, 2009 (following the approvals of the Company's Audit Committee) to 
approve the terms of the purchase of a real estate property, in the area (gross, 
according to the building plan) of approximately 2,070 Sq. Meters (including 
attachments, like: parking places and communal property), located at 31 Halechi 
Street, Bnei-Brak, Israel, in which the Company's offices are located (the 
"Property"), from Darpak Real Estate Ltd., a company under the control of 
Inter-Gamma Investment Company Ltd. which is also the ultimate controlling 
shareholder of the Company, for the sum of 11,700,000 New Israeli Shekels 
("NIS") plus applicable VAT. 
 
 
With the exception of those Directors of the Company who are involved in the 
proposed transaction as a related party, the Directors of the Company consider, 
having consulted with the Company's nominated adviser, Libertas Capital, that 
the terms of the transaction are fair and reasonable insofar as its shareholders 
are concerned. 
 
 
Additional details with respect to the Property and the terms of the purchase 
agreement are included in the "Additional Information" annexed to the Notice of
