Announcement of legal entity simplification

Orbit Group announces the transfer of engagements to Orbit South Housing Association Limited of Heart of England Housing Association Limited (31 March 2021), and the change of name of Orbit South Housing Association Limited to Orbit Housing Association Limited (31 March 2021) to form a single co-operative and community benefit society. Orbit South Housing Association Limited and Heart of England Housing Association Limited together with Orbit Group Limited being existing Guarantors to the Fixed Rate Secured Notes specified below.

Following the above, the Guarantors pursuant to (and as defined in) the Security Trust Deed in respect of the GBP300,000,000 2.00 per cent. Fixed Rate Secured Notes due 2038 issued by Orbit Capital plc, the GBP250,000,000 3.50 per cent. Fixed Rate Secured Notes due 2045 issued by Orbit Capital plc and the GBP450,000,000 3.375 per cent. Fixed Rate Secured Notes due 2048 issued by Orbit Capital plc, are:
