This trade has been carried out in relation to the scheme of arrangement (the 
"Scheme") pursuant to which ADP Network Services Limited is proposing to acquire 
the entire issued share capital of OneClickHR plc, details of which were set out 
in a circular to OneClickHR plc's shareholders dated 22 December 2009 ("Scheme 
Document"). As previously announced on 14 January 2010, OneClickHR plc's 
shareholders have voted in favour of the Scheme and have approved all 
resolutions required to give effect to the Scheme. As disclosed in the Scheme 
Document, for the purposes of implementing the Scheme, ADP Network Services 
Limited has acquired one ordinary share in OneClickHR plc prior to the date of 
the Court Hearing to sanction the Scheme scheduled to take place on 5 February 
2010.
