   Issue of Equity and Total Voting Rights 
 
   Octopus Apollo VCT plc (the "Company") announces that 1,383,987 Ordinary 
Shares of 10p each have been issued and allotted today at a price of 
88.9p per share, equivalent to the current NAV of 84.4p grossed up by up 
to 5.0% (as set out in the Prospectus dated 24 October 2014). These 
shares were issued pursuant to the Offer for Subscription to raise up to 
GBP20 million, with an over allotment facility of GBP10 million, in the 
2014/2015 and 2015/2016 tax years. 
 
   In addition, the following issues of Ordinary Shares of 10p each in the 
capital of the Company were allotted on 28 April 2015: 
 
 
   1. 11,705 Shares in relation to an offer for subscription pursuant to a 
      prospectus issued by the Company dated 1 October 2012; 
 
   2. 549 Shares in relation to a top up offer for subscription pursuant to an 
      offer document issued by the Company dated 2 December 2013. 
 
 
   The Company announces that the Shares referred to in a. and b. above 
were issued and allotted at a price of 88.9p per share under the terms 
of the relevant document.  The allotments of the Ordinary Shares of 10p 
each in the capital of the Company were made after the close of the 
respective offers for subscription and relate to shares allotted as a 
result of reduced adviser charges in accordance with the terms and 
conditions of the respective offers for subscription. 
 
   Mr Matt Cooper, a director of the Company, was allotted 479 Ordinary 
Shares and his total holdings are now 20,889, representing approximately 
0.02% of the Company's issued Ordinary share capital. 
 
   Mr Grant Paul-Florence, a person discharging managerial responsibilities, 
was allotted 11 Ordinary Shares and his total holdings are now 6,028 
Ordinary Shares, representing approximately 0.006% of the Company's 
issued Ordinary share capital. 
 
   Mr Hugh Costello, a person discharging managerial responsibilities, was 
allotted 18 Ordinary Shares and his total holdings are now 6,035 
Ordinary Shares, representing approximately 0.006% of the Company's 
issued Ordinary share capital. 
 
   Mr Joe Hartman, a person discharging managerial responsibilities, was 
allotted 18 Ordinary Shares and his total holdings are now 6,035 
Ordinary Shares, representing approximately 0.006% of the Company's 
issued Ordinary share capital. 
 
   An application has been made to the London Stock Exchange for admission 
of the new shares.   Admission is expected to become effective on or 
around 12 May 2015. 
 
   The issued share capital and total voting rights of the Company is now 
149,686,004, comprising   97,880,185 Ordinary 10p Shares and 51,805,819 
C Ordinary 1p Shares.
