Ocean Resources Capital Holdings Plc ("Ocean" or "the Company")
Result of AGM and EGM


The Board of Ocean (the "Board" or the "Directors") announces that at its Annual
General Meeting ("AGM") and Extraordinary General Meeting ("EGM") (together the
"Meetings") both held today, all resolutions put to Shareholders which were
recommended by the Directors were duly passed. Resolution 6, proposed at the
AGM, which the Directors recommended voting against, was not passed.

Chantrey Vellacott DFK have been appointed as liquidators to Ocean and will 
begin proceedings to wind up the Company.

The Board can confirm that dealings in the Company's share capital on AIM have
been suspended with immediate effect and the Company's AIM securities will be
cancelled with effect from 7:00am 14 September 2007.
