Notting Hill Genesis (the Issuer) has issued each of the following:

(a) GBP250,000,000 2.000 per cent. Secured Sustainability Notes due 2036 issued under the GBP2,000,000,000 Secured Note Programme of the Issuer;

(b) GBP250,000,000 2.875 per cent. Secured Bonds due 2029;

(c) GBP400,000,000 3.25 per cent. Secured Bonds due 2048;

(d) GBP250,000,000 4.375 per cent. Secured Bonds due 2054;

(e) GBP350,000,000 3.75 per cent. Secured Bonds due 2032; and

(f) GBP300,000,000 5.25 per cent. Secured Bonds due 2042,

(together the Bonds).

Each of the Bonds includes a requirement for the Issuer to provide to M&G Trustee Company Limited (the Bond Trustee) a copy of its own and its consolidated financial statements for each financial year within 180 days of the end of such financial year. The Issuer has been informed by its auditors, BDO LLP (BDO), that it will be unable to finalise its audit of the Issuer's financial statements for its financial year ended 31 March 2022 (the 2022 Financial Statements) prior to 27 September 2022, due to issues at BDO LLP, with a senior member of the team being signed off on long-term sick leave at short notice.

On the basis that the cause of delay is due to circumstances which are outside of the control of the Issuer and the Issuer has confirmed that, to the best of its knowledge and belief, there is no reason to believe that the 2022 Financial Statements will be subject to any audit qualification and the draft 2022 Financial Statements do not contain any non-public, price sensitive information about the Issuer, the Issuer has sought, and obtained, the consent of the Bond Trustee to postpone such requirement to 30 November 2022.
