NOTICE OF SUCCESSION
In accordance with "Description of the Bonds and Guarantee - Notices" in the respective Prospectus/ Offering Circular relating to the Bonds,
NOTICE IS HEREBY GIVEN to the holders of the Bonds that:
1. Pursuant to the Japan Bank for International Cooperation Act (Law No. 39 of 2011) ("the JBIC Act") enacted on April 28, 2011, Japan Bank for International Cooperation has been separated from Japan Finance Corporation ("JFC"), and became a new independent policy-based financial institution ("the new JBIC") on April 1, 2012.
2. Pursuant to Article 12 Paragraph 1 of the Supplementary Provision of the JBIC Act, debts in respect of the Bonds have been succeeded to by the new JBIC at the time of the new JBIC's establishment.
3. Pursuant to Article 16 Paragraph 3 of the Supplementary Provision of the JBIC Act, the guarantees given by Japan with respect to the Bonds has not been affected by the above establishment and succession and remains in full force and effect hereafter in accordance with the terms and conditions of the Bonds which had been effective before the establishment and succession, and Japanese tax treatments in respect of the Bonds has not been affected by the above establishment and succession and continues to stay the same.
4. Pursuant to Article 17 Paragraph 1 of the Supplementary Provision of the JBIC Act, the new JBIC and Japan International Cooperation Agency ("JICA") are jointly and severally responsible for the obligations of the bonds issued by former Japan Bank for International Cooperation on or before September 30, 2008. The new JBIC and JFC are jointly and severally responsible for the obligations of the bonds issued by JFC from October 1, 2008 to March 31, 2012.
5. Pursuant to Article 17 Paragraph 2 of the of the Supplementary Provision of the JBIC Act, each holder of the Bonds, in respect of the property of the new JBIC, JICA or JFC (as applicable), has the right to have his or her claim satisfied in preference to other creditors.
