Publication of Final Terms

The following Final Terms are available for viewing:

National Bank of Canada has agreed to issue U.S.$1,000,000,000 of 2.05% Covered Bonds due 20 June 2022 (the "Covered Bonds") pursuant to its CAD $12,000,000,000 Legislative Global Covered Bond Programme, unconditionally and irrevocably guaranteed as to payments by NBC Covered Bond (Legislative) Guarantor Limited Partnership (the "Programme").

The following document constitutes the final terms dated 17 June 2019 (the "Final Terms") relating to the issue of Covered Bonds for the purpose of Article 5.4 of the Prospectus Directive (Directive 2003/71/EC as amended and any relevant implementing measures in the United Kingdom) and must be read in conjunction with the Prospectus dated 27 September 2018 relating to the Programme, as supplemented by the 1(st) Supplementary Prospectus dated 6 December 2018, the 2(nd) Supplementary Prospectus dated 28 February 2019, and the 3(rd) Supplementary Prospectus dated 3 June 2019 (together, the "Prospectus"). Complete information on National Bank of Canada and the offering of Covered Bonds can only be obtained by reading the Final Terms together with the Prospectus.
