INVESTOR UPDATE

Wm Morrison Supermarkets Limited (the "Company" and together with its consolidated subsidiaries, the "Group", "Morrisons", "we" or "our") announces the following updates:

In connection with the announced proposed acquisition of 337 Morrisons petrol forecourt stations by Motor Fuel Group ("MFG"), Morrisons can now confirm that the consideration of £2.5bn shall be settled by way of:

(i)            an approximately 20% equity interest in MFG; and

(ii)           cash proceeds of approximately £1.95bn.
