           Miller Fisher Group plc ("Miller Fisher" or "the Company")


                    Result of Extraordinary General Meeting




Miller Fisher, the provider of outsourcing services to the insurance and
financial services industries, announces that at the Extraordinary General
Meeting held earlier today, all the resolutions summarised below (and detailed
in the circular sent to shareholders on 8 February 2002) were duly passed.

Resolution 1 was an ordinary resolution to sanction the shareholding of Bank of
Scotland (or any company within the Bank of Scotland Group approved by the Panel
on Takeovers and Mergers) for the purposes of the dispensation provisions of
Rule 9 of the City Code on Takeovers and Mergers.


Resolution 2 was a special resolution to increase the authorised share capital
of the Company by the creation of 165 million Ordinary Shares and 13.25 million
new 2 per cent. cumulative redeemable convertible preference shares of 1p each
in the capital of the Company ("CRCP Shares"), to authorise the Directors to
allot, inter alia, the CRCP Shares and the ordinary shares into which they are
convertible, to disapply statutory pre-emption rights and to amend the articles
of association to provide for the rights attaching to the CRCP Shares.


Resolution 3 was an ordinary resolution to approve the Miller Fisher Group plc
Executive Warrant Programme 2002.


Resolution 4 was an ordinary resolution to approve the terms of the proposed
agreement to be entered into between Haalim Limited (a company which has entered
into a consultancy agreement to provide the services of Malcolm Hughes as chief
executive of the Company) and Miller Fisher.


The Resolutions having been passed, the Directors anticipate that Bank of
Scotland's subscription for 13.25m CRCP Shares will complete very shortly and an
announcement to shareholders will be made as soon as possible.
