RICHMOND, Va., Feb. 8 /PRNewswire-FirstCall/ -- Media General, Inc. (NYSE: MEG) has priced its previously announced private offering of senior secured notes due 2017.
The face value of the Notes is $300 million with an interest rate of 11 3/4 %. The Notes were priced at 97.690% of face value, resulting in a yield to maturity of 12 1/4 %.
The Notes are being made available in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"), with closing expected to occur on February 12, 2010, subject to satisfaction of closing conditions contained in the purchase agreement with the initial purchasers.
Media General intends to use the net proceeds from the offering to repay borrowings outstanding under its existing revolving credit facility.
The Notes are being offered only to "qualified institutional buyers" as defined in Rule 144A under the Securities Act and to certain non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Securities Act. The Notes have not been registered under the Securities Act or any state securities laws. Prospective purchasers that are qualified institutional buyers are hereby notified that the seller of the Notes may be relying on the exemption from the provisions of Section 5 of the Securities Act provided by Rule 144A.
