RNS Number:6262R Marchpole Holdings PLC 03 November 2003 FOR IMMEDIATE RELEASE 3 NOVEMBER 2003 Marchpole Holdings plc (the 'Company') Disclosure of interests The Company has been informed that, on 31 October 2003, Michael Morris, director, disposed of 5,900,000 ordinary shares of 1 pence each in the Company ("Ordinary Shares"), representing 4.9 per cent. of the issued share capital, and the US-based Robert Lomnitz 2003 Trust (the "Trust") acquired 5,900,000 Ordinary Shares in the Company. The shares were purchased by the exercise of an option entered into between Michael Morris and the Trust on 8 July 2003 under the terms of which the initial consideration for the shares was 5.25p per share with a deferred cash consideration of up to 3.4p, the resulting maximum consideration payable being 8.65p per share. Michael Morris is now interested in 30,230,048 Ordinary Shares representing 25.1 per cent. of the issued share capital and the Trust is interested in 11,910,000 Ordinary Shares (of which 6,010,000 are registered in the name of Paul Mourning, the trustee of the Trust) representing 9.9 per cent. of the issued share capital of the Company.
