('ADS' or the 'Company')

Result of General Meeting

The board of ADS announces that, at the General Meeting of the Company held today, all resolutions were passed.

However, as set out in the announcement of 21 June and circular to shareholders of the same date, the Proposals are conditional on approval from the Financial Conduct Authority ("FCA") for the ADHL Share Transfer. This has not yet been forthcoming, and, until such time as it is granted, the Proposals will not be able to come into force.

The delay in the Proposals coming into force in no way affects the existing operations of Alexander David Securities Limited which continue to operate normally.

The Directors will make a further announcement as soon as notification is received from the FCA.

All terms in this announcement have the same meaning as in the circular published by the Company on 21 June 2013.
