NOTICE OF RESULT OF MEETINGS

to the holders of those of the

GBP605,000,000 Class A1 4.986 per cent. Bonds due 2037 (ISIN: XS0278325476)

presently outstanding

(the Class A1 Bondholders and the Class A1 Bonds respectively)

and the

GBP60,000,000 Class A2 Floating Rate Bonds due 2037 (ISIN: XS0278327415)

presently outstanding

(the Class A2 Bondholders and the Class A2 Bonds respectively)

and the

GBP175,000,000 Class B 4.988 per cent. Bonds due 2037 (ISIN: XS0278326441)

presently outstanding

(the Class B Bondholders and the Class B Bonds respectively)

of

the Issuer

NOTICE IS HEREBY GIVEN to the holders of the above Classes of Bonds that, at the respective Meetings of the holders of the Class A1 Bonds, the Class A2 Bonds and the Class B Bonds convened by the Notices of Meeting delivered to Euroclear and Clearstream, Luxembourg on 17 June 2020 and held on 9 July 2020, the Extraordinary Resolution set out in each such Notice was duly passed by the holders of the relevant Class of Bonds.

Terms defined in the Consent Solicitation Document referred to in such Notices bear the same meanings when used in this notice.

The Consent Solicitation has not been terminated and, accordingly, the modifications referred to in the Extraordinary Resolution will be implemented in accordance with the Consent Solicitation Document save only that the Issuer and the Borrower propose to reduce the Suspension Recovery Period by six months so that the Suspension Recovery Period will end on (and include) the Interest Payment Date which falls in October 2021 instead of the Interest Payment Date which falls in April 2022. The Bond Trustee, the Borrower Security Trustee and the Issuer Security Trustee have agreed to implement the Proposed Waivers and Amendments on that basis, and the Supplemental Agreement will accordingly be executed and delivered by the relevant parties today.

The Early Instruction Fee will be paid to eligible Relevant Bondholders on 13 July 2020 in the manner described in the Consent Solicitation Document.
