                            Director's Shareholding

Application has been made for 5,054 new ordinary shares of 1p each in the
Company to be admitted to trading on the Alternative Investment Market of London
Stock Exchange plc. These shares were issued to Richard Robinson, a
non-executive director of the Company, at a price of 41.05p, being the average
mid-market price for the period 1 April to 30 June 2004, on 21 July 2004 as
consideration for fees for the same period. Mr. Robinson's total holding in the
Company is now 9,240 ordinary shares.

The new shares will rank pari passu with existing ordinary shares and dealings
are expected to commence in the new ordinary shares at 8.00am on 28 July 2004.

Following the allotment of the above new ordinary shares, the Company's issued
share capital is 101,009,240 ordinary shares of 1p each.
