Result of General Meeting Update and Total Voting Rights
Further to the announcement of 18 April, the Company wishes to add further details of the result of the General Meeting held on that day. On a show of hands, the special resolution did not receive the 75 per cent support required in order to pass. Proxies held were 76,535,802 votes in favour and 68,151,637 votes against, a majority of less than 75 per cent in favour. The Chairman of the meeting was satisfied that votes from the shareholders present at the meeting would not be sufficient to change the result. Accordingly, a poll was deemed superfluous and the result from the show of hands stood.
Admission of shares
The Company has conducted a review of its shares admitted to trading. Following this, and further to the announcement made on 1 March 2018 in respect of the exercise of 1,000,000 warrants, the Company now expects that the 1,000,000 Ordinary Shares issued in respect of these warrants to be admitted to trading on or around 25 April 2019.
Total Voting Rights
Following the admission of the 1,000,000 Ordinary Shares noted above and the admission of the 26,400,000 Consideration Shares issued in respect of the Alerion Consulting Limited acquisition that were admitted to trading on 16 April 2019, the Company will have 223,346,002 Ordinary Shares in issue. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
