                      MELROSE RESOURCES plc ("the Company")

                Change in shareholding


The Company was informed, on 11th February 2004, that, following the recent
Placing, Caledonia Investments plc has increased its beneficial holding in the
Company by 1,725,000 ordinary shares and now holds a total of 4,632,000 ordinary
shares, representing 6.72% of the issued share capital of the Company.

The Company has been informed that, by virtue of the provisions of section 203
of the Companies Act 1985, The Cayzer Trust Company Limited, a substantial
shareholder in Caledonia Investments plc, is also deemed to be interested in the
above mentioned shares.
