                    Result of Extraordinary General Meeting

At the Extraordinary General Meeting of Music Choice Europe plc held today,
Wednesday 18 August 2004, at 10.30 am, the Special Resolution was duly passed.

The Special Resolution relates to the reduction of the share capital of the
Company, by cancelling and extinguishing 73 per cent. of the Ordinary Shares of
1 pence each in the Company, held by each registered holder (rounded down to the
nearest whole share) on 14 September 2004 being the Record Date. The Court
hearing of petition to confirm reduction in capital is to be held on 15
September and the shares in the Company will be suspended from trading at this
time. The reduction in capital will in result in the payment by the Company to
the registered holders of the cancelled shares of 16.75 pence per cancelled
share held by them on the Record Date, in accordance with the proposal described
in a circular to the Company's members dated 6 July 2004.
