Longbow Growth and Income VCT plc (the "Company")

Offer for subscription of ordinary shares of 1p each in the capital of the Company at an issue price of 100p each payable in full on subscription (the "Offer")

The Company announces that, in accordance with the terms of the Offer, as set out in the prospectus dated 7 December 2010 a further application has been made for the admission of 100 ordinary shares to the Official List of the UK Listing Authority and to trading on the London Stock Exchange plc's market for listed securities pursuant to the Offer which closed at 5.00pm on 30 June 2011. It is expected that dealings in these ordinary shares will commence at 8.00 a.m. on 22 August 2011.

A total of 1,174,892 ordinary shares of 1pence each have been allotted at 100 pence per ordinary share pursuant to the Offer and the total number of voting rights in the Company is 1,174,892.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
