Longbow Growth and Income VCT plc (the "Company")

Issue of Equity

Offer for subscription of ordinary shares of 1p each in the capital of the Company at an issue price of 100p each payable in full on subscription (the "Offer")

The board of directors of the Company is pleased to announce that, in accordance with the terms of the Offer, as set out in the prospectus dated 7 December 2010, the minimum proceeds of GBP1,000,000 have been achieved and 62,300 ordinary shares of 1pence each were allotted on 5 July 2011 at 100pence per ordinary share.

Following this allotment, there are 1,174,892 ordinary shares of 1pence each in issue.

Application has been made for the admission of the 62,300 ordinary shares to the Official List of the UK Listing Authority and to trading on the London Stock Exchange plc's market for listed securities. It is expected that dealings in these ordinary shares will commence on or around 19 August 2011.

The Offer closed as of 5.00pm on 30 June 2011.
