Title: U.S.$600,000,000 Primary Capital Undated Floating Rate Notes (Series 3) ("the Notes")

Issue Date: 28 August 1986

Maturity Date: Perpetual

ISIN: GB0005232391

We hereby give notice to you in accordance with the trust deed dated 28 August, 1986 between the Issuer and The Law Debenture Corporation p.l.c. as trustee (the "Trust Deed") that pursuant to Condition 4(b) and subject to Condition 2 of the Notes, all of the outstanding Notes will be redeemed by the Issuer on 31 August 2021 (the "Redemption Date") at their principal amount together with all Arrears of Interest. Notice is given pursuant to Condition 12 of the Notes.

NOTICE IS HEREBY FURTHER GIVEN that interest on the redeemed Notes shall cease to accrue after the Redemption Date, unless, upon due presentation thereof, payment of principal together with accrued interest thereon is improperly withheld or refused. In such event interest will continue to accrue as provided in the Trust Deed.

Terms used but not defined herein shall have the meaning given to them in the Trust Deed.
