                    Periphonics Stockholders Approve
                Acquisition of Periphonics by Nortel Networks

BRAMPTON, Ontario and NEW YORK - Nortel Networks (NYSE/TSE:NT) and Periphonics
Corporation (NASDAQ:PERI) announced today that the acquisition of Periphonics by
Nortel Networks was approved by the Periphonics stockholders at the annual
meeting of stockholders held this morning in Hauppauge, New York.

The acquisition will be effected by the merger of a wholly-owned subsidiary of
Nortel Networks with and into Periphonics. Nortel Networks and Periphonics
expect that the merger will close on Friday, November 12, 1999.

On August 24, 1999, Nortel Networks and Periphonics announced the entering into
of a definitive merger agreement, whereby Nortel Networks will acquire
Periphonics. Nortel Networks and Periphonics announced the early termination of
the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of
1976 on October 6, 1999, and announced the clearance of the German Act Against
Restraints on Competition by the German Federal Cartel Office on October 27,
1999.
