Notice of amendments

NOTICE IS HEREBY GIVEN TO HOLDERS OF THE NOTES THAT:

1. Following a written resolution dated 3 December 2020 of all holders of the then outstanding Notes, certain amendments to the relevant Programme Documents and Programme Issuance Documents, the Final Terms and the Pricing Supplement were made by the parties thereto pursuant to a master deed of amendment dated 3 December 2020 (the "Master Deed of Amendment") (such amendments to take effect as of 3 December 2020).

2. The amendments that have been made pursuant to the Master Deed of Amendment, which will take effect as of 3 December 2020, include certain amendments required to remove S&P as a Rating Agency in respect of the Notes and the Programme, so that all ratings criteria, ratings tests, ratings triggers and any and all requirements specified by and/or relating to S&P shall cease to apply.

3. Copies of the Master Deed of Amendment, along with the documents to which it relates, will be available for inspection and collection by Noteholders at the specified offices of the Principal Paying Agent referred to below.

4. All terms used but not defined herein shall bear the meanings (if any) given to them in the Programme Master Definitions Schedule and the Issuer Master Definitions Schedule.
