Notice of amendments

NOTICE IS HEREBY GIVEN TO HOLDERS OF THE NOTES THAT:

1. Following a written resolution dated 5 August 2020 of all holders of the then outstanding Notes, amendments to the following Programme Documents were made by the parties thereto:

   (a)        Issuer Trust Deed; 
   (b)        Issuer Paying Agent Agreement; 
   (c)        Master Definitions Schedule; 
   (d)       Issuer Master Definitions Schedule; 
   (e)        Mortgage Sale Agreement; 
   (f)        Servicing Agreement; 
   (g)        Issuer Deed Of Charge; 
   (h)        Funding Deed Of Charge; 
   (i)         Global Intercompany Loan Agreement; 
   (j)         NAB Issuer Account Bank Agreement; 
   (k)        NAB Funding Account Bank Agreement; 
   (l)         Funding Fixed Basis Rate Swap Agreement; and 
   (m)       Funding SVR Basis Rate Swap Agreement, 

in each case, pursuant to a master deed of amendment dated 5 August 2020 (the "Master Deed of Amendment") (such amendments to take effect as of 19 August 2020).

2. In addition, and following a written resolution dated 5 August 2020 of all holders of the then outstanding Notes, amendments to the following documents were made by the parties thereto:

   (a)        Terms and Conditions of the Series 2018-1 Class 1A Notes; 
   (b)        Terms and Conditions of the Series 2018-1 Class 2A Notes; 
   (c)        Series 2018-1 Final Terms; 
   (d)       Series 2018-1 Loan Tranche Supplement; 
   (e)        Class Z VFN Pricing Supplement; 
   (f)        Class Z1 VFN 1 Loan Tranche Supplement; 
   (g)        Class Z2 VFN 1 Loan Tranche Supplement, 

in each case, pursuant to the Master Deed of Amendment (such amendments to take effect as of 19 August 2020).

3. The amendments that have been made to the documents listed above, which will take effect as of 19 August 2020, include (among other things) certain amendments required to change the benchmark rate for the Notes from 3 month Sterling LIBOR to Compounded Daily SONIA and certain other consequential and/or related amendments in connection therewith.

4. Copies of the Master Deed of Amendment, along with the documents to which it relates, will be available for inspection and collection by Noteholders at the specified offices of the Principal Paying Agent referred to below.
