                    NOTICE TO THE HOLDINGS OF THE OUTSTANDING
                                 Kokuyo Co., Ltd.
     YEN12,000,000,000 Zero Coupon Convertible Bonds due 2024 (the "Bonds")
                   (ISIN: XS0197609018 Common Code: 019760901)      


NOTICE IS HEREBY GIVEN by Kokuyo Co., Ltd. (the "Company") to the holders of the
outstanding YEN12,000,000,000 Zero Coupon Convertible Bonds due 2024 of the
Company (ISIN: XS0197609018 Common Code: 019760901) (the "Bonds'), that on 28
June 2007 it was resolved by the Company that its financial year as stated in
its Articles of Incorporation would change from starting on 1 April and ending
on the succeeding 31 March, to starting on 1 January and ending on the
succeeding 31 December. Such change took effect on 28 June 2007. Further to this
change, definitions of "Annual Fiscal Period", "Dividend Accrual Period" and
"Fiscal Period" under the Trust Deed (as defined below) and the terms and
conditions of the Bonds are deemed to be amended to reflect this change in the
Company's financial year.     

This notice is given pursuant to the trust deed dated 19 August 2004 between 
the Company and The Bank of New York, London Branch (the Trust Deed"). 

Terms used but not defined herein have the meanings set out in the Trust Deed.
