APPOINTMENT OF DIRECTORS
The Company is pleased to announce that Mr William Albert Ackman and Mr Alan Charles Parker were appointed as non-executive directors of the Company on 19 April 2011.
William A. Ackman
Mr Ackman currently serves as chief executive officer of Pershing Square Capital Management, L.P., an alternative investment manager, based in New York, with approximately $9.5 billion in assets under management. Pershing Square has played an active role in effectuating corporate change at U.S. public companies such as Wendy's International Inc., McDonald's Corporation, Borders Group, Ceridian Corporation, Target Corporation, General Growth Properties and Fortune Brands. Mr Ackman is principally responsible for Pershing Square's investment policies and implementation. In total, Mr Ackman has 20 years of investment experience.
Prior to forming Pershing Square in 2003, he cofounded and co-managed Gotham Partners, public and private equity investment partnerships and funds that began their investment operations in 1993 and have largely completed the process of their winding-up. Prior to forming Gotham Partners, Mr Ackman was a principal with Ackman Brothers & Singer, Inc., now known as the Ackman Ziff Real Estate Group, where he arranged and structured equity and debt financing for real estate investors and developers.
Mr Ackman received an MBA from the Harvard Business School and a Bachelor of Arts from Harvard College where he graduated magna cum laude. Mr Ackman is currently a member of the board of J.C. Penney (NYSE: JCP) and is Chairman of the Board of The Howard Hughes Corporation (NYSE: HHC). Mr Ackman is also currently a member of the Board of Dean's Advisors of the Harvard Business School.
Alan C. Parker
Mr Parker retired as Chief Executive of Whitbread Plc on his sixty fourth birthday in November 2010 after 18 years with the company. Mr Parker was appointed Chief Executive of Whitbread PLC in June 2004 having been a member of the Whitbread PLC Board since 2000.
Mr Parker was educated at the University of Surrey (BSc) where he is now a Visiting Professor. He is a graduate of the Harvard Business School's Advanced Management Programme, a Director and ex-Chairman of the British Hospitality Association, a Fellow of the Institute of Hospitality, an Executive Committee member of the World Travel and Tourism Council and Non-Executive Director of Jumeirah Group LLC and Kesa Electricals Plc. Up until 2010 Mr Parker was on the Board of Visit Britain for six years.
In June 2008, Mr Parker was awarded a CBE in the Queen's Birthday Honours List for his lifetime of service to the Hospitality Industry. In 2007, he was inducted by his peers into the British Travel Industry Hall of Fame. Mr Parker was awarded the Outstanding Contribution to the Hotel Industry Award at the Hotel Cateys 2010. In March 2011 the International Hotel Investment Forum announced Mr Parker as the winner of the Lifetime Achievement Award 2011.
Mr Parker has entered into a share matching award agreement on the same terms as the current non-founder directors of the Company. Mr Parker has also entered into a lock-up deed on the same terms as entered into by all the other directors of the Company at the date of the Placing.
Pursuant to his share matching award agreement, Mr Parker has elected to subscribe for 15,000 ordinary shares in the Company at GBP10 per ordinary share. Mr Parker has also elected that his fees for the first year of his appointment be paid as a lump sum and applied towards this subscription. These shares are to be issued no later than one month from his appointment.
