NOTICE TO THE NOTEHOLDERS

To the holders of the following Notes of the Issuer presently outstanding listed in Schedule 1 hereto.

(the "Noteholders" and the "Notes" respectively)

Notice of Successor U.S. Representative

Reference is made to the agency agreements relating to the Programme between, amongst others, the Issuer and MUFG Union Bank, N.A. ("MUB") as U.S. Representative (the "Agency Agreements"). Capitalised terms used herein and not otherwise defined shall have the meanings set out in the Agency Agreements.

The Issuer has received a notice dated April 23, 2021 from MUFG Union Bank, N.A. ("MUB"), in its capacity as U.S. Representative of the Programme and the Notes, that it has entered into an agreement with U.S. Bank National Association ("U.S. Bank"), pursuant to which U.S. Bank has agreed to purchase the Debt Servicing and Securities Custody Services client portfolio of MUB, including the business that MUB carried out under the Agency Agreements in respect of the Programme and the Notes (the "Transaction").

Notice is hereby given to the Noteholders that, effective from June 1, 2021, U.S. Bank has assumed the role of U.S. Representative, and MUB has accordingly resigned from its role as U.S. Representative, in respect of the Programme and the Notes under the Agency Agreements.
