Notification of interests of directors and connected persons



Monthly investment in the ISIS Asset Management plc Share Incentive Plan ("SIP")



On 7 October 2004, the trustees (the "Trustees") of the SIP acquired a total of
4,677 ordinary shares of 0.1 pence each in the Company (the "Shares") at a price
of 226.00 pence per Share.



The Company has today received notification from Messrs Carter, Arthur, Back,
Criticos, Paterson Brown and Talbut that, as executive directors of the Company,
they have an interest in the Shares held in trust under the Scheme.



The Company has also today received notification from Messrs Carter, Arthur,
Back, Criticos and  Paterson Brown that of the 4,677 Shares acquired by the
Trustees, 55 Shares each (a total of 275 Shares) were acquired on their behalf
as partnership shares under the SIP.



The SIP is an Inland Revenue approved Share Incentive Plan.
