     Change in Shareholding of Choice Hotels International Inc. ("Choice")

                                 Board Changes

The Board of CHE announces that it has received notification from Choice that it
has surrendered its interest in, and is to transfer its entire holdings of,
31,097,906 unlisted convertible preference shares and 1,226,733 listed ordinary
shares in the Company. The Board proposes to cancel these shares in due course
and will make a further announcement at the appropriate time.

These holdings represented approximately 71 per cent. of the fully diluted share
capital of CHE.

This cancellation will have no impact on the number of shares held by the other
non-Choice ordinary shareholders but such shareholders will in aggregate, as a
result, hold 100 per cent. of the fully diluted share capital of CHE.

The Board of CHE believes that this development brings significant benefits to
the Company's ordinary shareholders and simplifies the Company's capital
structure.

It is also announced that the three Choice nominated non-executive directors,
Bruce Haase, Michael DeSantis, and Mark Pearce, are resigning from the Board
with immediate effect.

The Board of CHE emphasises that the Company continues to have the support of
its bankers.
