Investec Capital Accumulator Trust Limited (the "Company") 
 
Result of General Meeting held on 30 April 2010 
 
At a General Meeting of the Company duly convened and held at Guinness Flight 
House, La Plaiderie, St Peter Port, Guernsey, GY1 3QH on 30 April 2010, the 
following resolution was passed: 
 
THAT 
 
 a. the cancellation of listing of the Shares be and is hereby approved, to 
    take effect on or around 8.00 a.m. on 11 May 2010; 
 
 b. Investec Capital Accumulator Trust Limited (the "Company") be and is hereby 
    wound up voluntarily pursuant to Section 391(1)(b) of the Companies 
    Guernsey) Law, 2008 (as amended) and that Ashley Charles Paxton and Steven 
    David Stormonth of KPMG Channel Islands Limited be and are hereby appointed 
    joint liquidators (the "Liquidators") with the power to act jointly and 
    severally for the purpose of such winding-up with all powers conferred on 
    them by law, the articles of incorporation or by this resolution, such 
    appointment becoming effective on the passing of this resolution; 
 
 c. that the Liquidator's remuneration is fixed at GBP18,000 in accordance with 
    the engagement letter and terms of business issued by KPMG Channel Islands 
    Limited in respect of the proposed liquidation of the Company; 
 
 d. the Company's books and records be held by the Company Secretary to the 
    order of the Liquidators until the expiry of six years after the date of 
    dissolution of the Company, when they may be disposed of; and 
 
 e. in the event that any Shareholder's entitlement on a distribution is less 
    than GBP5 or if, following settlement of all liabilities after the creditors' 
    claims period, the aggregate of all assets in the Liquidation Fund as 
    defined in the Circular to Shareholders dated 6 April 2010 have a value of 
    GBP10,000 or less, such amounts will not be distributed to Shareholders but 
    will instead be donated to Help a Guernsey Child (registered charity number 
    276543, CI register CH95).
