Cancellation of Listing

Ingersoll-Rand Company intends that, upon completion of the corporate 
reorganization, the listing of its common stock, par value $2.00, on the 
official list of the United Kingdom Listing Authority be cancelled in accordance
with Chapter 1, paragraph 1.25 (b) of The Listing Rules. Ingersoll-Rand Company,
hereby gives notice that the intended cancellation date of the listing is 2 
January 2002.
