On 20 May 2002 the Company was notified by Schroder Investment Management
Limited (SIM) that it has an interest in 4,214,236 ordinary 1p shares
(representing 10.654% of the company's issued share capital) which are held in
portfolios managed by it on a discretionary basis for clients under investment
management agreements.


Included in this figure are: -


i)    43,500 shares held in (a) unit trust(s) operated and managed by an
affiliated company, Schroder Unit Trusts Limited (SUTL), and registered or to be
registered in the name of Chase Nominees Limited.


ii)   1,133,618 shares registered or to registered in the name of SIM's
wholly-owned subsidiary nominee company, Schroder Nominees Limited (Schroder
Nominees).


iii)    3,037,118 shares registered as follows:
