Total Voting Rights

In accordance with DTR 5.6.1, Ingenious Entertainment VCT 2 plc (the "Company") announces the following:

The Company's capital at 30 April 2013 consists of 10,205,011 ordinary shares of 1p each (the "Ordinary Shares"), 2,810,596 C ordinary shares of 1p each (the "CShares"), 6,785,624 D ordinary shares of 1p each (the "DShares"), 2,846,122 E ordinary shares of 1p each (the "EShares"), 1,572,095 F ordinary shares of 1p each (the "FShares") and 3,518,044 G ordinary shares of 1p each (the "G Shares") and 1,735,921 H ordinary shares of 1p each (the "H Shares") with voting rights. The Company does not hold any Ordinary Shares, C Shares, D Shares, E Shares, F Shares, G Shares or H Shares in treasury.

The total number of voting rights in the Company is 10,205,011 in respect of holdings of Ordinary Shares, 2,810,596 in respect of holdings of C Shares, 6,785,624 in respect of holdings of D Shares, 2,846,122 in respect of holdings of E Shares, 1,572,095 in respect of holdings of F Shares, 3,518,044 in respect of holdings of G Shares and 1,735,921 in respect of the holdings of H Shares.

Therefore, the total number of voting rights in the Company is 29,473,413. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
