                              CIRCULAR RE 

- proposed amendments to the Company's Articles of Incorporation 
  relating, inter alia, to the Company's borrowing powers, the 
  authority of directors to issue unissued shares in the capital 
  of the company and a change in of the date of the company's 
  annual general meeting;

- the renewal of authority for the Company to purchase its own 
  shares; and 

- amendments to The Brait S.A. Share Incentive Scheme;
  
and incorporating

- a notice of extraordinary general meeting of Brait shareholders; 
  and

- a form of proxy.

A copy of the above is available for inspection from the Company
Announcements office of the Stock Exchange, London.
