On 23 September 2013, Berjaya Philippines Inc. ("Berjaya") declared its offer 
for the Company unconditional in all respects. Following this announcement, 
Mike Warren, a director, and certain employees of the Company, have today 
exercised share option awards under the Company's 2001 Share Option Plan. 
 
Pursuant to the exercise of his options, Mike Warren will receive 178,888 
ordinary shares of 50p each in the Company ("Ordinary Shares") and he intends 
to accept the offer by Berjaya in respect of all of such shares, as he has 
already done so in respect of all of the shares already held by him. 
 
In total, 528,887 options are being exercised. In relation to this, a listing 
application will be made for 528,887 Ordinary Shares to be admitted to the 
Official List of the UK Listing Authority and to trading on the London Stock 
Exchange. The shares will be issued fully paid and will rank pari passu in all 
respects with the existing issued Ordinary Shares of the Company save that they 
will not receive the interim dividend that is due to be paid to shareholders on 
25 October 2013 to shareholders that were on the register at the close of 
business on 27 September 2013. 
 
The Company advises that following the above issue of Ordinary Shares, its 
issued share capital now comprises 25,044,854 Ordinary Shares. The Company has 
no shares held in treasury.
