The Issuer hereby announces that:

(a) at a meeting of the holders of the Series 2017-1 Notes convened by a notice of meeting dated 19 September 2019 (the Series 2017-1 Notice of Meeting) and held on 11 October 2019 at 09.00 a.m. (London time) at the offices of Allen & Overy LLP, One Bishops Square, London E1 6AD; and

(b) at a meeting of the holders of the Series 2018-1 Notes convened by a notice of meeting dated 19 September 2019 (the Series 2018-1 Notice of Meeting) and held on 11 October 2019 at 09.30 a.m. (London time) at the offices of Allen & Overy LLP, One Bishops Square, London E1 6AD,

the Extraordinary Resolutions set out in the Series 2017-1 Notice of Meeting and the Series 2018-1 Notice of Meeting were duly passed as set out below and the Eligibility and Implementation Condition with respect to each Series of Notes was satisfied.

Following the Pricing Time, the Issuer will announce:

(a) with respect to the Series 2017-1 Notes, (i) the Series 2017-1 LIBOR vs SONIA Interpolated Basis; (ii) the New Margin; and (iii) the New Step-Up Margin; and

(b) with respect to the Series 2018-1 Notes, (i) the Series 2018-1 LIBOR vs SONIA Interpolated Basis; (ii) the New Margin; and (iii) the New Step-Up Margin.

Shortly thereafter, the Issuer will arrange execution and delivery of (i) the Amended and Restated Series 2017-1 Final Terms; (ii) the Amended and Restated Series 2018-1 Final Terms; (iii) the Supplemental Trust Deed; and (iv) the Intercompany Loan Agreement Supplement, each of which will be made available on the website of the Issuer at https://www.santander.co.uk/uk/about-santander-uk/investor-relations/holmes-master-trust.

Capitalised terms used but not defined herein shall have the meanings set out in the Series 2017-1 Notice of Meeting, the Series 2018-1 Notice of Meeting and the Consent Solicitation Memorandum of the Issuer dated 19 September 2019.
