              Henderson Far East Income Trust plc (the "Company")
                      (in members' voluntary liquidation)

     Recommended Proposals for the voluntary winding up of the Company and
                  the rollover of Shareholders' interests into

                       Henderson Far East Income Limited


The Board of the Company announces that the resolutions proposed at the Second
Extraordinary General Meeting held at 3.00 p.m. today were duly passed. These
resolutions were to wind up the Company voluntarily and to appoint Patrick
Joseph Brazzill and Margaret Elizabeth Mills, licensed insolvency practitioners
of Ernst & Young LLP, 1 More London Place, London SE1 2AF, as joint liquidators.

Accordingly, as described in the Circular, the Scheme has today become
unconditional.

Henderson Far East Income Limited, the successor company, is therefore issuing
(under the terms of its prospectus dated 13 November 2006) 77,622,619 new
ordinary shares of no par value ("HFEIL Shares") to the Company's shareholders
on the register at the close of business on 14 December 2006. It is expected
that admission of the 77,622,621 HFEIL Shares (which includes the two subscriber
shares already in issue) to the Official List of the UK Listing Authority will
become effective, and dealings on the London Stock Exchange's main market for
listed securities will commence, at 8.00 a.m. on 18 December 2006.

It is expected that Shareholders holding Shares in uncertificated form will be
credited with HFEIL Shares on 18 December 2006 and that certificates for HFEIL
Shares will be dispatched to Shareholders holding Shares in certificated form on
22 December 2006.
