              Henderson Far East Income Trust plc (the "Company")

     Recommended Proposals for the voluntary winding up of the Company and
 the rollover of Shareholders' interests into Henderson Far East Income Limited


The Board of the Company announces that the Resolution proposed at the First
Extraordinary General Meeting held at 3.00 p.m. today was duly passed.


Accordingly, as described in the Circular, the Special Dividend of 8.50p per
share will be paid (together with the fourth interim dividend of 2.30p per
share) on 14 December 2006 to Shareholders on the register at 6.00 p.m. on 8
December 2006.



The Second Extraordinary General Meeting will be held at 3.00 p.m. on 15
December 2006 at which the resolutions for the appointment of liquidators will
be proposed.  If duly passed, the Scheme would become effective on that date and
dealings in the shares of Henderson Far East Income Limited, the successor
company, will commence at 8.00 a.m. on 18 December 2006.
