Healthcare Enterprise Group PLC (the "Company") announces that it was informed
yesterday of the following changes in interests in the Company's ordinary shares
of 0.1 pence each ("Ordinary Shares") in the Company's ordinary share capital,
which took effect in each case on 1 December 2003:

 1. that Prestbury Investment Holdings Limited's ("Prestbury") interests in
    Ordinary Shares increased from 57,812,529 Ordinary Shares (representing 2.12
    per cent of the total issued Ordinary Share capital of the Company) to
    206,893,264 Ordinary Shares (representing 7.60 per cent of the total issued
    Ordinary Share capital of the Company) following the transfer to it by
    LPMCC, LLC of 149,080,735 Ordinary Shares for an aggregate consideration of
    #2,236,211;

 2. each of Nick Leslau and Nigel Wray is interested in shares in Prestbury and
    as a result of those interests and as a result of Prestbury's interests in
    the Company, each of Nick Leslau and Nigel Wray is deemed to be interested
    in 206,893,264 Ordinary Shares (representing 7.60 per cent of the total
    issued Ordinary Share capital of the Company). In addition, Mr Wray's
    children have interests in aggregate in 250,000 Ordinary Shares;

 3. that LPMCC, LLC's interests in Ordinary Shares decreased from 1,025,640,623
    (being  38.40 per cent of the total issued Ordinary Share capital of the
    Company) to 876,559,888 Ordinary Shares (being 32.21 per cent of the total
    issued Ordinary Share capital of the Company), following its transfer to
    Prestbury of 149,080,735 Ordinary Shares as referred to in paragraph 1
    above;

 4. each of Stuart Bruck and Michael Low is interested in shares in LPHD, which
    owns 60 per cent of LPMCC, LLC, and Anthony Moore is a controlling
    shareholder in Moore, Clayton & Co., Inc, which owns 40 per cent. of LPMCC,
    LLC. Accordingly, each of Stuart Bruck, Michael Low and Anthony Moore is now
    deemed to be interested in 906,758,851 Ordinary Shares (being 33.32 per cent
    of the total issued Ordinary Share capital of the Company).
